Job Description
We are currently seeking an experienced Law Clerk to handle primarily Corporate files in our Woodstock office.
The Primary Duties Include but are not limited to:
- Prepare and file Articles of Incorporation, Amendment, Amalgamation and Dissolutions;
- Filing Form 1 Notices, annual returns and Personal Property Security Act registrations, renewals and discharges;
- Preparing bylaws, various corporate resolutions, annual minutes, etc. to document transactions such as re-organizations and rollovers;
- Register and renew business name and partnership registrations and maintain tickler system;
- Draft documents for share and asset purchase and sale transactions and conducting due diligence searches and reviewing results to report to lawyer;
- Communicating with lawyers, clients and accountants in a professional and timely manner;
- Reviewing and maintaining minute books including preparing and filing annual minutes;
- Preparing reporting letters and accounts.
Education
Experience Required
Background you offer:
- Relevant post secondary education, Law Clerk diploma or equivalent;
- Minimum two (2) years experience as a corporate law clerk;
- Ability to work independently and as part of a team;
- Detail oriented with excellent time-management and organizational skills;
- Proficiency with Microsoft Office applications;
- Demonstrated knowledge and experience with any of Fast Company, eCore, the OBR Partner Portal, and Soluno would be an asset;
- Excellent written and verbal communication skills.
