Job Description

We are currently seeking an experienced Law Clerk to handle primarily Corporate files in our Woodstock office.

 

The Primary Duties Include but are not limited to:

  • Prepare and file Articles of Incorporation, Amendment, Amalgamation and Dissolutions;
  • Filing Form 1 Notices, annual returns and Personal Property Security Act registrations, renewals and discharges;
  • Preparing bylaws, various corporate resolutions, annual minutes, etc. to document transactions such as re-organizations and rollovers;
  • Register and renew business name and partnership registrations and maintain tickler system;
  • Draft documents for share and asset purchase and sale transactions and conducting due diligence searches and reviewing results to report to lawyer;
  • Communicating with lawyers, clients and accountants in a professional and timely manner;
  • Reviewing and maintaining minute books including preparing and filing annual minutes;
  • Preparing reporting letters and accounts.

Education

Secondary School Diploma

Experience Required

Background you offer:

  • Relevant post secondary education, Law Clerk diploma or equivalent;
  • Minimum two (2) years experience as a corporate law clerk;
  • Ability to work independently and as part of a team;
  • Detail oriented with excellent time-management and organizational skills;
  • Proficiency with Microsoft Office applications;
  • Demonstrated knowledge and experience with any of Fast Company, eCore, the OBR Partner Portal, and Soluno would be an asset;
  • Excellent written and verbal communication skills.
